Below standard terms and conditions are applicable to you or your company once you enter into a service agreement with us (Agency / Service Provider / TZS Digital).
REPRESENTATIONS AND WARRANTIES: You hereto agree to provide the service provider – TZS DIGITAL with everything that it needs to complete the project hereto outlined including, but not limited to, text, images and other information as and when the service provider deems it necessary and in the format that the service provider specified.
OWNERSHIP AND COPYRIGHT: This will remain the responsibility of both the parties respective to their ownership and copyrights. It will be their responsibility to check the work before approving it to go for publishing on the web. The agency has the right to publish and display the work produced for clients as part of their portfolio on websites, social media, publications, or any other media for recognition and promotion.
NON DISCLOSURE AGREEMENT: Confidential information means all information of any kind, whether in written or other tangible form or orally or visually furnished, which ought reasonably and mutually to be understood by the parties to be confidential or which is mutually identified by them as being confidential.
The parties hereto agree that it shall not, without the expressed consent or prior written consent, do the following:
TERMINATION OF SERVICES: It can be done by either party by giving one month’s prior notice to another party in writing.
PAID SERVICES: There will be additional charges for the paid services like Ads and paid article submissions at actuals. For Paid Ads, we may use your credit cards for the payments on the ad platform. The client may need to add or link the billing details there.
FORCE MAJEURE: Agency shall not be responsible for any delay, suspension or failure arising out of any circumstances outside of its reasonable control, including but not limited to, acts of God, governmental actions, labor difficulty, war or national emergency, terrorism, fire, explosion, flood, an act or omission of a third party, inability to obtain any materials, equipment, facilities or services, failure of performance provided by others, internet interruption or virus, breakdown software, hardware or communication network.
LIMITATION OF LIABILITIES: Agency has the experience and ability to perform the services needed by clients and will carry them out in a professional and timely manner. It will endeavor to meet all the deadlines set, but will not be liable or responsible for a missed launch date, deadline or any damage to the client if the client has not supplied materials or has not approved/reviewed the work on time at any stage.
Agency is not liable to the client or any third party for damages, including lost profits, lost savings, or other incidental, consequential or special damages arising out of (or inability to operate) the services as mentioned in the proposal — even if the client had advised of the possibilities of such damages.
DISCLAIMER: Clients cannot transfer this contract to anyone else without the agency’s permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.
VALIDITY: This contract is valid till it is nullified by either party with due notice. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
ACKNOWLEDGEMENT: Upon accepting the proposal, the Client agrees to pay at the start or commencement of the project hereunto outlined. All parties represent and warrant to each other that each has all the requisite power and authority to enter into this agreement and to perform each of their respective obligations in accordance with the terms hereof.
